BAUER Completes Change in Legal Structure to a Partnership Limited By Shares (KGaA)
- Entry in the commercial register has been completed
- Change in legal form had previously been approved by the Annual General Meeting with 98.04% of the represented share capital
Schrobenhausen, Germany – BAUER AG has successfully completed the change of its legal form to a partnership limited by shares (KGaA). With its entry in the Commercial Register, the change in legal form of BAUER AG to BAUER GmbH & Co. KGaA, as resolved by the Annual General Meeting (AGM) on July 29, 2026, has now taken legal effect.
The Annual General Meeting of BAUER AG approved the change in legal form by a majority of 98.04% of the represented share capital. No lawsuits challenging the resolution were filed following the AGM. With the registration now complete, the implementation of the resolution, and thus the change in legal form, is finalized.
The change in legal form affects only the company’s legal form. This does not result in any changes for customers, business partners, employees, or shareholders.
The ownership stakes of the current shareholders will remain unchanged at a 1:1 ratio. Existing employment relationships, company agreements, contracts, and business relationships will also continue unchanged.

Effective immediately, BAUER Management GmbH will manage the business operations of BAUER GmbH & Co. KGaA.
