Annual General Meeting of BAUER AG Approves Change in Legal Form and Future Agenda

Schrobenhausen – At today’s Annual General Meeting, the shareholders of BAUER AG approved all resolutions proposed by the Executive Board and the Supervisory Board. The proposed change in legal form to a partnership limited by shares (KGaA) was approved by a majority of 98.04 % of the represented share capital. The Annual General Meeting thus sets an important course for the company’s future development. The focus was on the positive outlook for fiscal year 2026, the BAUER Group’s long-term investment agenda, and the creation of sustainable governance structures.

“BAUER has significantly strengthened its economic and financial foundation in recent years. Building on this foundation, we can now shape the next phase of our company’s development and make substantial investments in our future,” explained Dr. Martin Beck, Member of the Executive Board of BAUER AG. The first six months of fiscal year 2026 were positive. Despite a geopolitical and economic environment that remains challenging, the company sees strong global demand for investments in infrastructure, energy, water, and the environment – precisely the areas where BAUER holds particular technological strengths.

A key element of this further development is the BAUER Group’s investment agenda. By 2030, approximately half a billion euros are to be invested in the company’s industrial capacity, international customer proximity, and technological competitiveness. The focus will be on investments in modern infrastructure, production and logistics structures, further automation and digitization, and the expansion of international service and customer locations.

The investment agenda also represents a clear commitment to the Schrobenhausen region. By the end of 2027, new logistics and production facilities, as well as a modern customer and training center, will be built at the Aresing site to sustainably strengthen BAUER Maschinen’s industrial base and further expand the services provided to customers.

The investment agenda is supported by the long-term commitment of the Doblinger family, the majority shareholders. The Doblinger family’s clear commitment to the BAUER Group and its long-term development serves as an important anchor of stability for the company’s next phase.

With today’s approval by the Annual General Meeting of the change in legal form, BAUER is also creating the structural conditions necessary to consistently implement its future agenda. The corresponding resolution was adopted with 98.04 % of the represented share capital. The new legal form is intended to enable management and organizational structures more typical of Mittelstand companies, shorten decision-making processes, and accelerate the implementation of strategic measures. This will result in no changes for employees, existing employment relationships, collective agreements, works agreements, or co-determination rights, nor for the economic participation of shareholders. Shareholders retain their economic participation in the share capital on an unchanged 1:1 basis.

It is an important component of our long-term growth strategy and is intended to ensure that BAUER can continue to act quickly, entrepreneurially, and successfully in the future,” said Prof. Dr. Peter Bömelburg, Chairman of the Supervisory Board. “Together with our investment agenda, we are creating the conditions to further expand our leading market position and sustainably strengthen the BAUER Group’s future viability while maintaining the strengths of a Mittelstand company.”
